The MOU entered into in October would have given Sin-Tang a piece of Royal’ Razorback iron ore project in exchange for $50 million to fund development costs.
But its failure follows Sin-Tang on Tuesday admitting to an “dministrative
oversight” including overstating its 8.63 per cent interest in Sphere, when it actually only held 8.48 per cent.
Although a minor difference, ASIC this week confirmed to The Australian it is watching trading in Sphere after reports last week Argonaut Securities-advised Sin-Tang was set to launch a bid for Sphere, to rival Xstrata’ recommended $428m offer. Sphere last week added Goldman Sachs as an adviser but denied any other bids are on the table after an almost 6 per cent spike in its share price to $2.72. Its shares have cooled to $2.49 yesterday, below Xstrata’ offer of $2.50 a share, highlighting the changed feeling a takeover war could erupt.
However Sin-Tang’ “dministrative”issues aren’ a first, with the Takeovers Review Panel this year upholding a ruling in relation to a takeover attempt from one of Sin-Tang’ shareholders Xie Yuzheng for Mesa Minerals. It was found Xie had breached the Corporations Act by acquiring more than 20 per cent of Mesa without first making a takeover offer to shareholders, along with another related oversight.
Deutsche Bank-advised Xstrata, which this week extended its offer period 10 days to October 29, continues to struggle to gain traction, today moving to just 8.29 per cent. A reason could be brokers such as Euroz having a $4 target for Sphere in mind.
