AGENCY AGREEMENT
This Agreement ("the Agreement") is made this [15th of August 2004], by and between [한국 에이전트] ("Agent"), a corporation duly incorporated under the laws of the Republic of Korea with its principal place of business at 한국내 주소 and [외국 공급사] ("Company"), a corporation duly incorporated under the laws of 외국나라 이름 with its principal place of business at 외국 공급사 주소
WITNESSETH:
WHEREAS, the Company wishes to market [상품명]("Products") in the Republic of Korea ("the Territory") and for such purpose enter into an agreement with the Agent; and WHEREAS, the Agent is willing to market the Products in the Territory and render its services to the Company; Now, THEREFORE, in consideration of the mutual premises herein contained, the Parties hereto agree as follow;
Article 1. Appointment
1.1 The Company hereby appoints the Agent and the Agent hereby accepts appointment as the Company's exclusive Agent for the sales of the Products within the Territory on the terms and conditions set forth herein.
1.2 The Company shall not, itself directly or through third parties, sell, distribute or market the Products to the Customers in the Territory ("Customers") or appoint other representatives, Agents, distributors or the like with authority to sell or lease the Products to the Customers and the Company shall exert its best efforts and take all necessary legal actions to cause its other distributors, Agent, representative or the like not to sell distribute or lease, directly or through third parties, the Products to the Customers.
Article 2. Agent's Duties and Responsibilities

이 계약은 대한민국의 법에 의해 설립되고 주된 영업소가 주소인 에이전트 회사 (이하 "갑(Agent)"이라 한다)와 외국 나라 이름에 의해 설립 되고 주된 영업소가 외국 공급사 주소 회사(이하"을(Company)"이 라 한다)간에 [년월일]에 체결되었다.
을은 한국에서 [제품명](이하 "상품(Products)"이라 한다)를 판매하기를 바라며 또 한 편 갑은 한국내에서 상품을 판매하기를 원하며 을에게 판매용역을 제공하고자 하여 당사자들은 다음과 같이 상호 약정한다.
제1조 (대리점 임명)
① 을은 이 계약에 규정된 조건아래 한국내에서 상품을 판매하기 위하여 갑을 을의 독점대리인으로 선정하고 갑은 이를 수락한다.
② 을은 직접 또는 제3자를 통하여 한국내에서 있는 고객(이하 "고객"이라 한다) 에게 상품을 판매하지 않으며 또한 고객에게 상품을 판매하거나 대여할 권한을 갖는 기타의 대표자, 대리인, 판매인 또는 이와 유사한 자를 임명하지 않으며, 을은 기타의 판매인, 대리인, 대행인이 직접 또는 제3자를 통하여 한국내의 고객에게 상품을 판매하거나 대여하지 않도록 최선의 노력을 경주하며 필요한 법적인 조치를 위한다.
제2조 (갑의 의무와 책임)
갑은 상품의 판매를 개발·촉진하도록 노력하여야 하며 한국내에서 상품의 판매를 증가시키기 위하여 성실한 노력을 하여야 한다. 이러한 목적을 위하여 갑은 을에게 판매상황을 보고하여야 하며 을에게 조언, 제의 및 협력을 하여야 한다.
