d grade and recover from Seller the excess of the price so paid over the purchase price set forth in this Contract, plus any incidental loss or expense : or (c) terminate this Contract as to any unshipped balance and recover from Seller as liquidated damages, a sum of five(5) percent of the price of the balance. Further, it is agreed that the rights and remedies herein reserved to Buyer shall be cumulative and in addition to any other or further rights and remedies available at law.
구제책 : 판매자가 본 계약을 이행하지 못하거나 정해진 시간대로 물품을 수송하지 못할 경우에는 구매자는 서면에 의해 판매자에게 다음 조치 중 어느 것이든 취할 수 있다. :본 계약을 해지한다 : 혹은 잘못된 물품의 부분에 대해서만 계약을 해지하고, 동일한 종류와 품질의 물품을 동일한 수량만큼 구매하되, 이 계약에서 정해진 구매금액을 초과하여 치러진 잉여금액과 그에 부수되는 모든 손실이나 비용을 판매자로부터 회수한다. 혹은 수송되지 못한 잔여분에 관해 본 계약을 해지하고 판매자로부터 손해변제로서 잔여분 가격의 5%를 회수한다. 또한 본계약에 의해 구매자에게 부여되는 권리나 구제책은 법에 의해 정해진 다른 모든 추가의 권리나 구제책과 더불어 누적적이 될 것이다.
Infringement : Seller shall be responsible for any Infringement with regard to patent, utility model, trademark, design or copyright relating to the Goods in any country where the Goods are sold, used or otherwise disposed of. In the event of any dispute with regard to the said intellectual or industrial property right, Buyer may cancel this Contract. Seller shall be responsible for and shall defend, reimburse, indemnify and hold Buyer harmless from any and all liabilities, claims, expenses, losses and/or damages sustained thereby.
위반 : 상품이 팔리거나, 사용되거나 다른 방법으로 해결되었던 어떠한 국가의 상품에 관련이 있으며 판매자는 특허권, 실용 신안, 상표, 디자인 또는 판권에 관해서 어떠한 위반에 대하여 책임이 있을 것입니다. 해롭지 않은 구매자를 방어하고, 갚고, 배상하고 계속합니다. 그것에 의하여 떠받쳐진 어떠하고 모든 부채, 요구, 비용들, 손실들 그리고 손해로부터의 것.
Force Majeure : In the event of any prohibition of import, refusal to issue an import license, act of God, war, blockade, embargo, insurrection, or any other action of governmental authorities, civil commotion, plague or other epidemic, fire, flood, or any other unforeseeable causes beyond the control of a party, the party shall not be liable for any default arising therefrom in performance of this Contract.
파티의 제어이상으로 수입의 어떠한 금지, 수입 허가서를 발행하는 거절, 천재지변, 전쟁, 봉쇄, 출항금지, 폭동, 또는 정치 당국의 어떠한 다른 행동, 폭동, 역병 또는 다른 유행병, 불, 홍수, 또는 어떠한 다른 예지할 수 없는 원인의 경우에, 파티는 이 계약의 실행에 거기서부터 발생하는 어떠한 태만에 대한 책임져야 하지 않을 것입니다.
Arbitration : All disputes, controversies, or differences which may arise between the parties hereto, out of or in relation to or in connection with this Contract, shall be finally settled by arbitration in Korea in accordance with the Commercial Arbitration Rules of The Korean Commercial Arbitration Board. The award rendered by the arbitrator(s) shall be final and binding upon both parties. This Contract shall be governed under the laws of Korea.
중재 : 계약과 관련하여 또는 계약으로부터 당사자간에 야기되는 모든 분쟁, 논쟁 또는 견해 차이는 대한민국법률 하에서 대한상사중재원의 중재규칙에 따라 한국, 서울에서의 중재에 의하여 최종적으로 해결된다.
Trade Terms : All trade terms provided in this contract shall be interpreted in accordance with the latest Incoterms of the International Chamber of Commerce.
무역조건 : 이 계약에서 정해진 모든 무역거래조건은 국제상업회의소의 최종적인 인코텀즈에 따라서 해석되어야 합니다.
