(9) QUALITY : Sellers shall guarantee all shipments to confirm to samples, with regard to quality and condition.
매도사 측은 품질, 상태 등에 대하여 시료를 확인하기 위한 모든 출하과정 전체를 보증함.
(10) FORCE MAJEURE : Sellers shall not be responsible for any delay in shipment due directly or indirectly to force majeure, such as fires, floods, earthquakes, tempest, strikes, lockouts, mobilization, war, prohibition of export, and any other contingencies which may prevent shipment within the period stipulated. In the event of any of the aforesaid causes arising, documents proving its occurrence or existence shall be submitted to Buyers without delay.
매도 사측은 화재, 홍수, 지진, 폭풍, 노조 파업, 대량해고 및 생산 폐쇄, 동원령, 전쟁, 수출 금지 및 규정 기간 내에 출하를 방해할 수 있는 기타 비상사태와 같은 불가항력적 사건, 사고에 직간접적으로 부과되는 선적지연에 대해 책임지지 않음. 상기 사유 중 하나가 발생하는 경우, 그 발생, 존재를 증명할 서류를 매수사 측에게 지체 없이 제출해야 함.
(11) DELAYED SHIPMENT : In all cases of force majeure provided in the Article No. 10, the period of shipment stipulated shall be extended for a period of twenty-one (21) days. In case shipment within the period thus extended should still be prevented by continuance of the causes mentioned in the article or the consequences of any of them, Buyers shall have the option either allowing the shipment of late goods or canceling the order by giving Sellers a notice of cancellation by fax.
제 10조 규정 사항 불가항력적 사건의 경우 모두 이십이(21) 일 이내 선적 기간을 연장한다. 이와 같이 언급했던 원인이 지속되거나 그 중 하나의 결과 때문에 여전히 선적이 막힐 경우, 연장 선적 기간까지 매수사는 물품 선적 지연을 허용하거나, 매도사에 팩스로 취소 통보를 하여 주문을 취소할 선택권을 가질 수 있음.
(12) CLAIMS : Claims, if any, shall be submitted within fourteen (14) days after arrival of goods at destination. Certificates by recognized surveyors must be sent by mail without delay. All claims that cannot be adjusted amicably between Sellers and Buyers shall be settled by arbitration in Korea under the rules of the Korean Commercial Arbitration Board, whose award shall be final and binding upon Party A and Party B.
클레임이 있는 경우, 목적지에 상품 도착 후 십사(14) 일 이내에 제출해야 함. 공인 평가관의 증명서는 지체 없이 우편으로 보내야함. 매도사와 매수사 사이에 우호적 조정될 수 없는 모든 클레임은 ‘한국 상사 중재위원회’의 규정에 따라 한국에서 중재로 해결되며, ‘한국 상사 중재위원회’의 판결은 당사 A와 B에게 최종 구속력을 갖게 함.
In witness whereof ABC Co., Inc. have set their hands in duplicate on the Fifth day of April, 2017, at Seoul, and XYZ Co., Ltd. have set their hands on the Fifteenth of April, 2017, at London, and any of the clauses in this Agreement shall not be changed or modified unless by mutual consent.
