우선 무역계약의 당사자에 따라 계약서의 종류가 달라진다.
1) 일반당사자
법인인 당사자(corporate party)와 자연인, 즉 법인이 아닌 당사자(non-corporate party)로 구 분되나 주종을 이루는 것은 법인인 당사자가 된다.
2) 공법인 당사자
국가로부터의 독립적인 법 인격을 가진 당사자로 계약체결 시 국내외의 영업활동을 관찰하여 주권 면제특권의 획득여부의 면밀한 검토가 요망된다.
3) 정부당사자
정부자체 또는 그 기관이 계약의 당사자가 되는 경우로 주권면제특권의 인정 여부와 그와의 계약체결을 위해 필요한 인․허가 등의 행정절차와 그 준수여부에 대한 면밀한 검토가 요망된다.
